Independent Contractor Relationship
The contractor will:

- Generally determine when and where services are performed, except for mutually scheduled customer meetings and onsite activities required by a statement of work.
- Provide the contractor’s own ordinary equipment, tools, workspace, insurance, and business expenses, except for access to Ediphai systems or customer environments necessary to complete the project.
- Remain free to provide services to other clients, provided those services do not create a conflict of interest or violate confidentiality obligations.
