A prominent law firm is seeking an experienced M&A Attorney with 8+ years to join its highly active Corporate Practice Group.

The firm advises privately held middle-market and lower-middle-market companies in complex transactions throughout the United States and internationally. Its clients includeprivate equity sponsors, founder-owned and family-owned businesses, strategic acquirers, portfolio companies, family offices, and private investors.

Job Summary

The firm is seeking an accomplishedM&A Partner, Counsel, or senior transactional attorneywith substantial experience leading private-company mergers and acquisitions.

The ideal candidate will be able to independently manage sophisticated transactions from initial structuring through closing, negotiate principal deal documents, supervise transaction teams, and work directly with clients and their other professional advisors.

This is aremote opportunityoffering sophisticated transactional work, substantial client responsibility, and a more attractive billing expectation than many larger firms.

Responsibilities and Duties

1. Leading sophisticatedprivate-company mergers and acquisitions
2. Representing buyers, sellers, private equity sponsors, portfolio companies, founders, and strategic acquirers
3. Handling private equity, strategic M&A, leveraged buyout, management buyout, and other corporate transactions
4. Drafting and negotiating purchase agreements, merger agreements, disclosure schedules, and ancillary transaction documents
5. Managing transactions from initial structuring and due diligence through signing and closing
6. Advising clients regarding transaction structure, negotiation strategy, and risk allocation
7. Supervising associates and coordinating transaction teams
8. Maintaining direct communication with clients, opposing counsel, investment bankers, accountants, and other transaction advisors
9. Working collaboratively with attorneys across complementary practice areas to efficiently address issues arising during transactions
10. Participating in the continued development and growth of the firm's Corporate and M&A practice

Requirements

• Significant experience handling sophisticatedprivate-company M&A transactions
• Strong experience independently leading and closing transactions
• Excellent drafting and negotiation skills
• Experience managing associates and deal teams
• Strong client-management and communication skills
• Excellent academic and professional credentials
• Admission and good standing in an applicable U.S. jurisdiction

Experience representingprivate equity sponsors, founder-owned companies, strategic buyers and sellers, or other middle-market transaction participantsis particularly attractive.

Candidates with established client relationships or a portable practice will receive strong consideration. The firm also has a substantial existing transactional platform that can support the right lateral partner.

Compensation and Benefits

The anticipated compensation range is$360,000–$420,000, depending upon experience, qualifications, client relationships, portable business, and other relevant factors.
