Position Summary

The Foundation Executive Director will lead the establishment, governance, strategic direction, and day-to-day operations of the Company's non-stock, non-profit foundation in full compliance with PAGCOR, SEC, BIR, and other Philippine regulatory requirements.

This executive leadership role is responsible for ensuring that the Foundation fulfills its charitable mission while maintaining the highest standards of corporate governance, financial stewardship, transparency, and regulatory compliance.

The Executive Director will oversee all Foundation functions, including governance, CSR strategy, financial management, project implementation, stakeholder engagement, regulatory reporting, and organizational development.

Position Summary

The Foundation Executive Director will lead the establishment, governance, strategic direction, and day-to-day operations of the Company's non-stock, non-profit foundation in full compliance with PAGCOR, SEC, BIR, and other Philippine regulatory requirements.

This executive leadership role is responsible for ensuring that the Foundation fulfills its charitable mission while maintaining the highest standards of corporate governance, financial stewardship, transparency, and regulatory compliance.

The Executive Director will oversee all Foundation functions, including governance, CSR strategy, financial management, project implementation, stakeholder engagement, regulatory reporting, and organizational development.

Key Responsibilities

Executive Leadership

• Establish and lead the Foundation as an independent, professionally managed non-stock, non-profit organization.
• Develop the Foundation's long-term vision, strategic plans, and annual operating objectives.
• Build a sustainable organizational structure to support future growth.
• Lead and mentor the Foundation team while promoting a culture of integrity, accountability, and community impact.
• Report directly to the Board of Trustees regarding Foundation performance and strategic initiatives.

Foundation Governance

• Ensure full compliance with all SEC, PAGCOR, BIR, and applicable Philippine laws governing foundations.
• Oversee corporate governance policies, Board administration, and regulatory filings.
• Coordinate Board of Trustees meetings and prepare Board materials.
• Maintain corporate records, resolutions, governance documentation, and legal compliance.
• Develop internal policies, governance manuals, procurement guidelines, and operational procedures.

Financial Stewardship

Lead the financial management of the Foundation, including:

• Administration of the dedicated Foundation bank account
• Management of mandatory 1% Gross Gaming Revenue (GGR) remittances
• Budget planning and annual financial forecasting
• Fund allocation and expenditure approval
• Internal financial controls
• External audit coordination
• Financial transparency and accountability
• Ensure all Foundation funds are used exclusively for approved charitable purposes.

CSR & Community Development Strategy

Develop and oversee high-impact community programs aligned with PAGCOR guidelines, including:

• Education
• Healthcare
• Community Infrastructure
• Livelihood Development
• Social Welfare
• Disaster Response
• Environmental Sustainability
• Youth Development
• Persons with Disabilities (PWD)
• Gender and Development (GAD)
• Other approved charitable initiatives
• Lead project selection, budgeting, implementation, monitoring, and impact measurement.

Regulatory Compliance

Ensure timely submission of all required regulatory reports, including:

Monthly

• Bank Statements
• Report of Funds Received
• Report of Funds Released by Project

Semi-Annual

• Project Progress Reports
• Site Photos
• Implementation Evidence

Annual

• SEC General Information Sheet (GIS)
• Audited Financial Statements (AFS)
• Annual Plans and Programs
• Certification of Donations and Grants
• Other regulatory submissions
• Maintain complete documentation for inspections and audits.

Strategic Partnerships

Develop strong relationships with:

• PAGCOR
• Securities and Exchange Commission (SEC)
• Bureau of Internal Revenue (BIR)

Program Management

Provide executive oversight for all Foundation programs by:

• Strengthening community partnerships

Risk Management & Governance

Establish robust governance frameworks to ensure:

• Compliance with PAGCOR regulations
• Proper use of Foundation assets
• Fraud prevention
• Conflict-of-interest management
• Procurement integrity
• Internal control systems
• Audit readiness
• Data privacy compliance
• Enterprise risk management

Public Relations & Corporate Reputation

• Promote the Foundation's charitable mission.
• Develop annual CSR and ESG reports.
• Coordinate media engagement and public communications.
• Strengthen corporate reputation through meaningful community impact.
• Represent the Foundation at conferences, forums, and government events.

Qualifications

• Bachelor's Degree in Business Administration, Finance, Law, Public Administration, Social Development, Management, or related discipline.
• Master's Degree (MBA, Public Administration, Development Management, Law, or related field) preferred.
• Minimum 10 years of senior leadership experience.
• At least 5 years leading a foundation, NGO, CSR department, or non-profit organization.
• Demonstrated experience managing multi-million peso budgets.
• Strong knowledge of Philippine regulatory frameworks governing foundations and non-profit organizations.
• Experience working with Boards of Directors or Trustees.
• Strong financial, governance, and compliance background.
