Opportunity
The Board of Directors is seeking experienced independent community members to join our Board of Directors. The primary purpose of the Independent Director is to bring an objective perspective, diversity, and valuable expertise and experience to Board discussions as a voice from the community.
We are especially interested in applicants with the following areas of expertise:
Previous Finance And/or Accounting Experience, CPA Designation Preferred
Governance experience, ICD designation preferred
AI and systems/technology expertise
Experience in not for profit sector, particular in resource constrained environments
Legal expertise
Entrepreneurs
Responsibilities
Activities associated with being a member of the Board:
Preparing for and attending Board meetings, the annual general meeting, strategic Board planning meetings, and other meetings as required.
Participating in discussions and decisions on matters of strategy, risk management, policy, finance, programs, and personnel.
Serving as a member of the Finance, Audit & Risk Committee, AI Committee, and/or Governance Committee.
Supporting the Board to help ensure directors are adequately informed of risk-related issues to inform decision-making.
Reviewing annual and semi-annual budgets, business plans, key performance indicators, business plan amendments, and significant organizational expenditures and/or commitments, as required.
Qualifications
The successful candidates will demonstrate a passion for not-for-profit work and will be able to commit to fulfilling all Board responsibilities, comply with all organizational policies, and be willing to contribute constructively and respectfully in Board and subcommittee meetings.
As a member of the Board, the Independent Director must possess sophisticated and thoughtful communication skills and demonstrate a desire to build positive relationships with fellow Board members and senior staff. Other qualifications include:
Familiarity with the rural context and resource scarce environments
A clear criminal background check
Ability to travel to Okotoks and other rural communities to attend Board Meetings
Accounting and Board Treasurer experience is considered an asset
Previous experience serving on a not for profit Board of Directors and understanding the distinction between the Board and operations would be considered an asset
Strong preference will be given to a resident of one of the 14 rural communities represented by the CRPCN catchment.
Term and Commitment
Independent Board Members are elected for a one-year term with the possibility for renewal at the Annual General Meeting of the Board which takes place in June of each year.
Directors attend approximately 8 Board Meetings throughout the year which are a combination of virtual and in-person. In addition, Independent Board Directors are required to participate in one of the CRPCN’s Board Committees including Finance & Audit, AI Committee and/or Governance Committee.
Renumeration
In alignment with Alberta Health policies, this is a non-remunerated position. The CRPCN covers mileage when attending CRPCN meetings to help ensure that this is a barrier-free opportunity.
