The role of Corporate Development is to enhance the Company strategies to grow the business by identifying external opportunities such as businesses, assets, partnerships and structuring solutions that will accelerate the growth, efficiency and capabilities of our System. We identify and pursue opportunities in line with defined priority areas based on the Company's overall strategies, considering value creation criteria, risk parameters, resources allocation priorities, and key financial metrics.

This role is a key contributor to the Corporate Development mission. The role supports the identification of opportunities and works collaboratively across functions and operating units and with our bottling partners. Once an opportunity is being pursued, this role is primarily responsible for coordinating a holistic target assessment and business case, including detailed financial models and benchmark analysis, and making value recommendations. The role leads the due diligence, developing strategies for and participating in or leading negotiations and engaging key internal and external stakeholders throughout the assessment and execution process. The role is the key business partner on deals and requires coordination with the legal and tax groups with respect to value participation, business models, structuring and regulatory requirements. The position requires strong business acumen, strategic thinking, the ability to convert business considerations into definitive documents, strong communication and influencing skills and an ability to manage multiple projects and internal and external stakeholders simultaneously across geographies.

Education:

  • Minimum Education Requirements: Bachelor's degree or professional certification. Post graduate education preferred.

Related Work Experience:

  • Minimum 9+ years of relevant experience required
  • Scout, identify, analyze potential opportunities, and report on scouting for external opportunities. Assist in continuously updating the M&A tracker and related analysis.
  • Using internal and external data to create valuation models which support the development of a business case for transaction or partnership opportunities across business types.
  • Perform financial analyses to assist in exploring strategic options, developing creative solutions to complex business issues, and/or supporting decision-making
  • Partner with other functional experts across the company to ensure all relevant information is taken into account in developing a business case and executing a transaction or partnership with the appropriate level of input from the organization, including all risks and opportunities.
  • Lead and coordinate the due diligence process while managing third party providers to ensure business case items are validated, risks identified, and operational factors required for success are identified.
  • Analyze key diligence findings identified and evaluate the level of risk, implications to business case and transaction documents, and required mitigation plans in partnership with key internal stakeholders.
  • As the primary business partner on deals, develop strategies for, plan and lead or participate in negotiations and make recommendations or decisions that ensure transaction parameters remain within defined risk parameters,
  • Give input to, understand, and review documentation requirements ensuring the deal is within the company's risk parameters. Maintain comprehensive documentation of all transactions and approvals to ensure availability for future reference and audit purposes.
  • Ensure all internal approvals are obtained in a timely way. Make sure accounting, regulatory, legal, communications and tax processes are adhered to at the right time during the execution of transaction.
  • Communicating with and managing external and internal stakeholders throughout the deal process
  • Support preparation of Senior Management presentations including Board presentations. Lead other key reporting work to key decision makers.

Technical

  • Consumer Focus: Demonstrating understanding of how one's actions and/or work impact the Company's relationship with consumers.
  • Business Valuation: Knowledge of the theories of valuation and the various methodologies involved such as discounted cashflows. This includes knowledge of the technical and financial components of valuations and how to apply the appropriate valuation theory.
  • Economic and Financial Theories: Knowledge of theories (e.g., Interest Rate Parity Theory, Weighted Average Cost of Capital (WACC)) needed to perform financial analyses and understand the impact of e.g. the economic environment on valuations.
  • Debt and Equity Instruments: Knowledge of debt and equity instruments as well as Capital Markets and their application to transaction structure.
  • Financial Analysis: Ability to perform deep financial analyses to explore strategic options, developing creative solutions to complex business issues, and supporting decision-making. Includes the ability to perform unique analyses and analyses that require the application of multiple financial and non-financial concepts (e.g. , NPV, IRR, Discounted Cash Flow, statistical analyses, economic analyses, loss projection, exposure analysis).
  • Determining Financial Impact: Understanding the financial consequences of decisions; understanding economic value for the system; and recommending and making decisions that ensure long-term value.
  • Synergy Design: Ability to design cost effective systems and procedures to create synergies within the System and to ensure that assets are safeguarded
  • Deal Design: understanding how business models affect value creation and work collaboratively with other functions to design structural and governance solutions that ensure delivery of the desired growth and value.
  • Key Value Drivers: Knowledge of the Key Value Drivers of the Company business and the ability to translate them into deal considerations
  • Exposure Thresholds. Knowledge of the Company's limitations and/or exposure thresholds in order to resolve due diligence findings and negotiate reps and warranties, purchase/sale contracts, and/or lease agreements.
  • Digital/AI knowledge: Uses digital perform analysis and enable all work. Understands and uses CoPilot, Claude or similar AI tools regularly. Has a solid understanding of the use of agents.
