Legal Counsel

Role Description

This is a full-time, fully remote Legal Counsel position. The Legal Counsel will handle a variety of legal tasks, including providing legal advice, drafting and reviewing legal documents, resolving legal issues, and leading contract negotiations. The role requires strong legal acumen, great attention to detail and excellent problem-solving skills to address client needs and support business growth.

Key responsibilities include:

• Research and draft articles and materials on cutting-edge topics in VC, digital assets and AI.
• Draft U.S.-style VC and startup documentation (SAFEs, convertible instruments, side letters).
• Research and analyze international securities regulations, Web3 and tokenization compliance, offshore and onshore corporate structures (UK, U.S., Switzerland, Cyprus).
• Conduct case law research and prepare structured legal analyses.
• Draft letters and complaints, legal opinions and memoranda.
• Liaise with registered agents and legal counsel under the supervision of qualified attorneys.

Qualifications

• 3+ years of experience at an international or top-tier law firm or Big 4 legal practice.
• Experience in VC, fund formation, corporate structuring and commercial disputes.
• Excellent drafting and legal research skills.
• Ability to provide high-quality legal advice to clients on a variety of matters.
• Attention to detail and strong commercial judgment.
• Juris Doctor (JD), LL.M or equivalent legal qualification.
• Previous experience in working with VC funds or Web3 companies is a plus.
• Excellent analytical, organizational and communication skills.
• Strong work ethic, intellectual ambition and a desire to learn and operate at a high-paced professional standard.
