The Project Associate/Senior Project Associate for mergers and acquisitions conducts research, analyzes financial data, develops valuation models, and supports due diligence processes.
Qualifications:
- Candidate must possess at least a Bachelor's/College Degree in Management, Accounting, Finance, Management Engineering, or its equivalent.
- Preferably a Certified Public Accountant (CPA) and/or Chartered Financial Analyst (CFA).
- Must have at least 5 years of work experience.
- Must have the ability to prepare financial/valuation models.
- Must be able to prepare materials for presentation to the team/management.
Duties and Responsibilities:
- Research specific companies/industries/topics assigned
- Gather data needed for analysis (e.g., industry and company data, market data on comparable companies, financial information)
- Prepare a company profile and assist in providing an assessment
- Review financial statements and prepare a financial analysis
- Develop a dynamic, user-friendly DCF valuation and simulation models with various scenarios and sensitivities
- Research, develop, and present valuation of the company using methodologies other than DCF (e.g., multiples, benchmarking with peers)
- Research and calculate WACC
- Review, analyze, and comment on the valuation model of the counterparty
- Draft briefing and presentation materials
- Assist in preparing and monitoring the due diligence list
- Coordinate with internal team and/or external advisors (re: questions, requests for information, documents for data room, meeting schedules, site visits, etc.)
- Coordinate and monitor Q&A activities and IRL process
- Review documents provided in or for the data room
- Participate in the conduct of due diligence
- Identify red flags based on due diligence review
- Coordinate and summarize the red flags/due diligence findings by the team
- Present to superiors in CMA or to project teams, when directed to
- Provide preliminary comments on confidentiality agreements
- Ensure highest level of confidentiality of information and projects
- Handle administrative matters, including coordinating meetings and preparing/anticipating requirements for the meeting
- Perform other related tasks that may be assigned by the superior
