This role sits at the intersection of law, real estate strategy, and large-scale infrastructure development, supporting the expansion of advanced data center assets across global markets. You will act as a key legal advisor on complex, high-value real estate transactions that enable hyperscale and enterprise data center growth. The position involves structuring, negotiating, and executing sophisticated deals that include acquisitions, leases, joint ventures, and development agreements. You will collaborate closely with cross-functional teams across real estate, finance, development, and operations to align legal frameworks with business and investment strategies. The environment is fast-paced and highly strategic, requiring strong commercial judgment and the ability to translate legal complexity into practical solutions. This is a high-impact role for a legal professional who thrives in infrastructure-driven, innovation-focused environments.
Accountabilities:
- Lead the structuring and execution of complex data center real estate transactions, including land acquisitions, dispositions, ground leases, build-to-suit developments, and joint ventures.
- Translate business and investment objectives into legally sound transaction structures that balance risk, capital deployment, and operational flexibility.
- Draft, review, and negotiate a wide range of real estate agreements, including purchase and sale agreements, leases, development agreements, and easements.
- Design contract frameworks that clearly define risk allocation, performance obligations, milestones, remedies, and termination rights.
- Manage due diligence processes, including title, survey, environmental, zoning, permitting, and regulatory analysis.
- Identify and mitigate legal and commercial risks related to site control, utilities, infrastructure, and jurisdictional constraints.
- Collaborate with internal teams across development, finance, engineering, and operations to ensure seamless deal execution.
- Coordinate external counsel and advisors while managing transaction timelines from structuring through closing and post-closing obligations.
- Juris Doctor (JD) degree and active bar membership in at least one U.S. jurisdiction.
- 8–12+ years of experience in commercial real estate law, preferably with exposure to data center, energy, or infrastructure transactions.
- Strong experience in structuring and negotiating complex, high-value real estate deals.
- Deep understanding of commercial real estate law, contract design, and transaction mechanics.
- Experience working with capital structures, investment models, and financial return considerations.
- Ability to align legal strategy with business objectives and operational requirements.
- Strong negotiation, communication, and stakeholder management skills.
- Experience in both law firm and/or in-house environments is highly valued.
- Ability to manage multiple complex transactions simultaneously in a fast-paced environment.
- Strong analytical judgment with a proactive, business-oriented legal mindset.
